CONSULTANT CONTRACT
I hereby apply to become an Independent Consultant of RDOFUNBAGZ, whose parent company is RDO Enterprises, LLC. The name designated on the bottom of this document, hereafter is referred to as “Consultant.” As a Consultant, I understand and agree that:
1) I am at least 18 years of age. I understand that I am not an employee, agent, franchise holder, or legal representative of RDOFUNBAGZ. I am an Independent Contractor and have knowledge of what the term “Independent Contractor” means. I am engaged in my own independent business and understand that any and all expenses incurred by me are my responsibility, including but not limited to, the RDOFUNBAGZ starter kit, inventory, business materials, travel, and business expenses. I further understand I am not eligible for and will not participate in any pension, health, workers compensation or other fringe benefits offered to employees of RDOFUNBAGZ. I understand that I will not be treated as an employee for federal, state or local tax purposes, and therefore, RDOFUNBAGZ will not withhold any money for, or pay any federal, state or local taxes. As a Consultant, I am responsible for self-employment taxes and must comply with any state or local ordinances regarding a home-based business. I further understand that collection and payment of sales tax on the full retail price when the products are ordered from RDOFUNBAGZ will hold the Consultant harmless from all costs and liabilities arising out of RDOFUNBAGZ failure to comply.
2) As an Independent Consultant, I will be paid commissions by RDOFUNBAGZ. RDOFUNBAGZ does not dictate my schedule. I will receive a Form 1099 each year, as eligibility permits. Commissions will be determined and paid in accordance with such practices as are now or hereafter adopted from time to time by RDOFUNBAGZ.
3) I shall not directly nor indirectly, solicit or hire any Consultants, which would result in termination from RDOFUNBAGZ. It is acceptable for Consultants to engage in a second direct sales business provided the second business is not related to purses or handbags or wallets. Consultants agree not to use or disclose any information that is confidential, trade secret, or proprietary to RDOFUNBAGZ during or after termination of this agreement. Consultants shall not establish a competing direct sales company, which involves purses or handbags during and for at least two years after termination of this agreement. Consultants can only sell purses, handbags, and wallets that are purchased from RDOFUNBAGZ. Either party hereto may terminate this agreement upon written notice to the other. Termination is effective upon delivery of such notice.
4) I understand that I cannot use RDOFUNBAGZ trade name, part of the trade name, logos, slogans, and/or other copyrights or trademarks during or after termination of this Agreement for any other purpose other than RDOFUNBAGZ, business without written approval from RDOFUNBAGZ. All advertising, business materials, printed materials that are not purchases from or given by RDOFUNBAGZ require the written approval from RDOFUNBAGZ. This includes but is not limited to: stationery, business cards, invitations, press releases, etc. I agree that I will not reproduce any printed materials whether or not it bears RDOFUNBAGZ copyright unless I am given written approval from RDOFUNBAGZ.
5) I agree to abide by the Statement of Policies and Procedures of RDOFUNBAGZ incorporated herein by this reference. RDOFUNBAGZ reserves the right to change policies and procedures and the compensation plan at any time.
6) This Contract shall be governed by and construed in accordance with the laws of the state of Ohio, without reference to its conflicts of law rules. Any and all actions/arbitrations shall be heard in Delaware County, Ohio. Any claims or actions arising under this Agreement shall be submitted to Arbitration in accordance with the Commercial Arbitration Rules of the American Arbitration Association. Any arbitration hearings shall be held in a place set by the arbitrator, one who resides in Ohio. The decision of the arbitrator shall be final. In any event that any dispute between the parties concerning this Agreement leads to arbitration, each party will pay their own incurred fees and legal fees.
This Contract constitutes the entire Contract between Consultant and RDOFUNBAGZ and no other additional promises, representations, guaranties, or agreements of any kind shall be valid unless in writing. I understand that when or if RDOFUNBAGZ changes legal status this Contract and its contents will be honored and transferred. I acknowledge that I have read, understand, and agree to the terms set forth in this Contract.
